Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Creatorlayer platform, including the API, creator application, consent flow, and all associated services (collectively, the "Service"), operated by SATOSHI FRAMEWORK SASU ("Creatorlayer", "we", "us"), a French SASU registered in France. By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
- "Creator" means any individual who connects their platform accounts (e.g. YouTube, Stripe) to the Service via the OAuth consent flow.
- "Lender" means any business entity that accesses the Service via the Creatorlayer API to request income verification for a Creator.
- "Risk Tape" means the structured income verification report generated by the Service from a Creator's connected platform data.
- "API User" means any Lender or developer accessing the Service via the Creatorlayer API.
2. Acceptance of Terms
By using the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Description of Service
Creatorlayer provides income verification infrastructure for creator finance. The Service enables Creators to authorise access to their platform revenue data and produces a standardised Risk Tape for use by Lenders in underwriting decisions. Creatorlayer does not make lending decisions and does not provide financial advice.
4. Creator Obligations
- You must provide accurate information when setting up your account and connecting platforms.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must not connect platform accounts that you do not own or have authorisation to use.
- You may withdraw your consent at any time via the Creatorlayer app or by contacting hello@creatorlayer.eu.
5. Lender and API User Obligations
- API keys must be kept confidential and must not be shared or embedded in client-side code.
- Risk Tape data must be used solely for the income verification purpose for which it was requested and must not be repurposed, resold, or shared with third parties.
- API Users must not use Risk Tape data to discriminate against Creators on the basis of any protected characteristic.
- API Users are responsible for ensuring their use of the Service complies with all applicable laws, including consumer credit regulations and GDPR obligations as a controller.
- Exceeding rate limits or attempting to circumvent access controls is prohibited.
6. Intellectual Property
The Creatorlayer platform, including its software, design, and documentation, is owned by SATOSHI FRAMEWORK SASU and protected by French and EU intellectual property law. Creator income data belongs to the Creator; Creatorlayer holds a limited licence to process it solely for the purposes described in the Privacy Policy and consented to by the Creator. API Users receive a non-exclusive, non-transferable licence to access the Service for their permitted internal business use.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Creatorlayer's total liability to any party arising out of or in connection with these Terms shall not exceed the fees paid by that party to Creatorlayer in the 12 months preceding the claim. Creatorlayer shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
8. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to suspend or terminate the Service or your access to it at any time, with notice where reasonably practicable.
9. Termination
Either party may terminate access to the Service at any time. Upon termination, your right to use the Service ceases immediately. Data deletion obligations survive termination and are governed by the Privacy Policy and any applicable Data Processing Agreement.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Paris (Tribunal de commerce de Paris for commercial disputes, or Tribunal judiciaire de Paris for other disputes).
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to registered users before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
